Hino to sell six sales subsidiaries in Japan

Japanese commercial vehicle manufacturer Hino Motors announced that it has agreed to sell six domestic sales subsidiaries, ahead of its planned merger with Mitsubishi Fuso Truck and Bus Corporation (MFTBC) on 1April 2026 to form Archion Corporation.

Hino confirmed that it plans to transfer 80% of the shares in five of the subsidiaries, including Higashi Hokkaido Hino Motors, Hokkaido Hino Motors, Miyagi Hino Motors, Fukushima Hino Motors and Minami Kanto Hino Motors, to its Taiwanese distributor Ho Tai Motor Company. Hino confirmed it will retain a 20% stake or less in these sales companies.

Taiwan Stock Exchange-listed Ho Tai Motor has been Hino’s Taiwanese distributor for more than 70 years. The company also distributes Toyota and Lexus vehicles, Taiwan’s two leading automotive brands, across its extensive distribution network.

In a separate transaction, Hino has also agreed to transfer 88.5% of the issued shares of Shizuoka Hino Motors to Aichi Hino Motors Ltd, a long-standing Hino dealer operating in Aichi Prefecture.

Hino confirmed it expects to book a one-off gain from the sale of these shares in the first quarter of the 2026 fiscal year (FY26), which starts in April. The company confirmed that the sale of these six subsidiaries is linked with its plans to merge with MFTBC.

Hino said that while its merger with MFTBC is aimed at strengthening product and service competitiveness, the two companies will continue to compete in the marketplace, adding that “to ensure continued service quality for customers, maintain a fair competitive environment and address potential competition law concerns arising from the integration, Hino decided to transfer managerial control of certain domestic sales companies to partners with no capital relationship to either Hino or MFTBC.”
